These Terms and Conditions (“Terms and Conditions”) constitute a legally binding contract between Telxy telehealth Inc. and you, the entity (“you” and “your”), regarding your connectivity to and use of the various services available via the Website. By using any of the Websites or Platforms, you accept and come to an understanding to these Term of Service (TOS) and the Web-based and mobile-based Discretion Policy.
Telxy Health, Inc. (conjointly referred to as “Telxy Health”, “we”, “us”, or “our”) makes certain telemedicine corresponding data and guidelines available to you and/or facilitates your access to e-health and knowledgeable medical services on its behalf of its links and/or wholly retained. You clearly and explicitly agree to these “Terms of Service” by accessing the “Webpage”. If you do not agree to these Terms of service, you must stop using and retrieving the Website instantaneously. For your record keeping, print a duplicate of these Terms of Service.
These Terms and Conditions may be amended at any point by Telxy in its sole and absolute discretion without providing you with advance notification. Telxy will revise the Implementation Date mentioned above and issue a notice on the Website if there are substantial variations to these Terms and Conditions. The modified Terms and Conditions will also be shown when you browse and connect to the Platform. You must acknowledge and affirm your agreement to the revised Terms and Conditions to keep using the Telxy Platform.
You will be regarded to have cancelled these Provisions and Conditions if you stop using the Website and do not accept the terms of the modified Terms and Conditions. This is your single and limited recourse. Unless specified, amended Terms and Conditions will take effect as of the “Operative Date”. You acknowledge and consent to all such modifications by using or browsing the Website after such modifications have been notified.
Through remote access connections, you can utilize and view the Platforms. Following these Terms and Conditions, Telxy hereby grants you a limited, non-exclusive, non-sublicensable, limited, non-transferable authorization to use the Platform. You will be prerequisite to set up login details, not restricted to usernames and passwords, to navigate the Platform. You must keep your user credentials private and keep them away from anyone else if you use them to access the Platform. Must report any unauthorized use of your user account or any other illegal access involving or referring to the Platform right away to Telxy by sending an email to contact@telxy.com
Telxy is not an insurance company. The “Function of Telxy” is to provide you with access to certain telemedicine information and/or to provide you with telemedicine and professional health treatment. You will get these telemedicine services from healthcare practitioners independent of Telxy, and Telxy is not accountable for their conduct, inactions, or the content of any interactions they may have with you.
Providers
To use the Website as a healthcare professional (“Provider”), you must agree to adhere to all laws, health and other guidelines and protocols that implement to you as a healthcare provider or other highly qualified using the Website or Platform. Your connections with Telxy users (including your “customers/patients”) are exclusively among you and the patient.
Your Warranties and Interpretations
You certify and warrant the following by enrolling on the Platform:(i) you are at least eighteen (18) years old, (ii) you have the contractual jurisdiction and autonomy to delve into these Terms of Service with Telxy, (iii) the data you provided to Telxy in your registering is precise and comprehensive, (iv) you will comply with any laws pertinent to your use of the “Website” and “Platform”. (v) you will not interrupt with or impede Telehealth security processes, (vi) you will instantaneously notify Telxy if any data you deliver to “us” becomes factually incorrect, inadequate, or otherwise falsified or misrepresentative. (vii) you affirm that connectivity to the treatments offered through the Platform are not “insured services” either under local medical plans (viii) you concede that any fees paid by you or on your behest are not delivered in exchange for any endeavor by Telxy or its legislatures that such telemedicine services will be readily accessible to you.
Your potential to use the Webpage and Platform will be cancelled if you breach and disobey these Terms of Service (TOS). Telxy reserves the right to interrupt your access to the Website and/or Platform, at any time for any reason. These activities are in furthermore to any other legal rights or remedial measures Telxy may have. Besides that, Telxy will not be responsible to you or any third party if such cancellation or cessation occurs. You may dismiss these Terms of Service (TOS) by suspending connectivity and using the Website and Platform. The disclosures, restrictions on legal responsibility, cancellation, and your assurances and indemnities shall endure any termination of these TOS to the extent the law allows.
Telxy is the solitary and exclusive owner of the Website and Platform, with all copyright, intelligent property rights, brand name, commercial entity, and other rights in and to the Website and Platform, as well as any linked documents and recordkeeping. The Website and Platform, or any portion of them, are not forwarded to you under this contract. Telxy restricts all rights not particularly settled here. You acknowledge not to alter or remove any copyright or proprietary notices associated with materials copied and accessed from the Website and/or Platform.
You are encouraged to continue providing constructive criticism, comment threads, or recommendations about the Website and Platform or Telxy Health Services (“Feedback”).
You acknowledge and accept that Telxy is not under any liability to use any Feedback. You, with this, confer Telxy a globally persistent, immutable, premium, exchangeable authorization to regenerate, showcase, operate, disseminate, disclose, alter, modify, or otherwise use such Feedback as Telxy considers applicable, without limitation, for other purposes.
Third-party webpages may be interconnected with the Website and Platform. Telxy has no authority over external websites and is not accountable for the content of any associated webpage. Links are provided solely for your accessibility, and incorporating a link does not imply that Telxy favors corporate partners or is associated with the linked site. Third-party websites are accessed at your own risk and subordinate to their TOS; these Terms do not implement on other webpage. Telxy disclaims any liability for any data provided by external websites, including but not restricted to health-related and medical concerns.
You acknowledge to protect, indemnify, and retain Telxy, its law enforcement agents, supervisors, workers, stockholders, associates, third-party contractors, representatives, partner companies, and vendors (each a Telxy Group and cumulatively Telxy Parties) inconsequential from and against any assertions, decisions or requirements, shortfalls, liabilities, destruction, ends up costing, fees, and settlements (including realistic attorney and payments).
UNDER NO CASE SHALL TELXY BE LEGALLY ACCOUNTABLE FOR ANY LINK, SPECIAL, DISSUASIVE, LARGELY IRRELEVANT, EXCEPTIONAL, OR CONSEQUENTIAL DESTRUCTION, OR ANY OTHER MONETARY LOSS THAT TENDS TO RESULT FROM ANY LOSS OF USE, DAMAGES TO PROFITS, LAWSUITS, OR ANY OTHER SIGNIFICANT MONETARY LOSS. WHETHER IT BE IN AGREEMENT, MEDICAL MALPRACTICE (INCLUDING IRRESPONSIBILITY), PRODUCT LIABILITY, OR SOMETHING ELSE, IDENTIFIED AS A RESULT OF OR IN ANY DIRECTION LINKED WITH THE WEBSITE OR PLATFORM, OR THE AVAILABILITY OF OR REJECTION TO END UP MAKING ACCESSIBLE ANY SUCH PRODUCT LINES, COMMODITIES, OR SERVICES, EVEN IF ADVISED OF THE POTENTIAL OF SUCH RESTITUTION.
Telxy will not be legally culpable for any breach of its obligations under this agreement if the failure is due to a cause beyond Telxy’s immediate control, but not restricted to, structural, digital, or communication services failure or deterioration.
The boundaries on liability in these Terms and Conditions represent an informed voluntary risk allocation. Such availability is a tangible component of these Terms and Conditions. You agree that the liability boundaries highlighted in these TOS are appropriate and fair under the conditions.
The Website and Platform are supplied “as is” and “as accessible,” with no implied or explicit service contracts. Telxy explicitly disclaims all implicit or explicit interpretations, service contracts, and conditions but is not restricted to implied conditions or warranties of implied warranties and suitability for a specific purpose to the fullest extent permitted by applicable law. Telxy makes no warranty that the Webpages and Platforms will be error-free, that deficiencies will be rectified, or that the Website and Platform or the server that hosts them are free of malware or other destructive mechanisms.
Telxy makes no assurances and explicitly disclaims any inferred warranty or recognition regarding the precision, consequence, timeliness, comprehensiveness, or suitability of any content sent on the Webpage and Platform for a particular purpose. Telxy accepts no liability for any data or other data communicated in link with the use of the Website and/or Platform that is delayed, becomes unable, is interrupted, or is corrupted. Because relevant legislation may not permit the rejection of implied warranties, the preceding exclusion may not implement for you.
The laws of the United States administrate these TOS. The parties unalterably submit to the exclusive jurisdiction of the courts in all matters and conflicts that may arise under this agreement and disclaim any defence of lacking personal jurisdiction in that justice system. These TOS are not administrated by the United Nations Convention on Contracts, which is expressly exempted from the solicitation. If any provision of these TOS is illegal by a court of competent jurisdiction, the legitimacy of the enduring provisions of these TOS will be unchanged.
Peculiar private data is defined in these Terms and Conditions as any data about an individual or entity, such as your title, email address, DOB, any PHI, or any information about you that you elect to provide digitally through the Website and Platform, and any other details that recognize your identity. Telehealth will only use PHI following these TOS and Telxy Web and Mobile Privacy Policy (or as agreed upon between you and Telxy in writing).
You acknowledge that Telxy may track and evaluate your use of the Websites and Platforms at any time and that “cookies,” “files,” and your “browsing data” may be used in full compliance with the Cookie Guidelines.
No pause or omission by Telxy in practicing any privilege or authority under certain Terms and Conditions or in objecting to your inability to comply with any agreements in a timely and comprehensive manner shall impair or be construed as a waiver of any subsequent breach or any other agreements. Telxy waivers must be in script and signed by a ratified Telxy demonstrative.
Broad agreement
These TOS represent the complete agreement between you and Telxy concerning your access to and utilization of the Platform and Websites and the subject matter of these TOS and transcend all prior or contemporary written or verbal contracts, deliberations, interpretations, and recommendations between Telxy and you.
This electronic document, as well as any other e-documents stated to or embedded hereunder, will be: (a) presumed to be a “writing” or “in writing” for all specific purposes and will comply with all legislative, predetermined, and other regulatory obligations for writing; and (b) enforced by the state as a contractual document.
A print edition of these Terms and Conditions, as well as any notice given in the electronic form, will be legitimate in legal or administrative proceedings based on or referring to these Terms and Conditions within the same significant degree and under the exact circumstances as other corporate documents and records accumulated and retained in printed form.
These TOS are private and intimate to you, and you may not assign, transmit, or sublicense them without Telxy’s written agreement. Telxy may allocate, exchange, or entrust any of its privileges and obligations pursuant to this agreement without your consent.
